- Covers both MaisonRMI and the counterparty as disclosing and receiving parties.
- Supports standalone execution or annexing to a broader commercial agreement.
- Default governing law: Singapore. Localised riders available for EU and US engagements.
Key Terms
- Confidential Information Definition – Includes technical, commercial, and customer data whether disclosed orally or in writing.
- Permitted Use – Information may only be used for the stated purpose and must be handled on a need-to-know basis.
- Security Obligations – Receiving party must apply standards equivalent to their own protective measures and report breaches within 48 hours.
- Return or Destruction – All confidential materials must be returned or destroyed within 30 days of termination.
- Term – Two-year confidentiality period unless superseded by subsequent agreements.
Approvals & Notes
- Legal Operations must approve any changes to governing law or liability caps.
- Finance reviews if the NDA is tied to potential revenue over USD 1M.
- Signatures are collected through PandaDoc with auto-expiry set to 14 days.
